THE FRIENDS OF OUR LADY OF TINTERN
1. The name of the Unincorporated Association is "THE FRIENDS OF OUR LADY OF TINTERN".
2. The Object of the Association is: "To encourage and facilitate ecumenical prayer and dialogue to advance Christian unity".
3. Members of the Committee shall be members of the Association. Membership of the Association and membership of the Committee shall be coterminous. Supporters of the FOLT shall be known as "Friends" but, unless elected, shall not be members of the Committee and shall not be members of the Association.
4. The Committee shall comprise three Officers: Chair, Treasurer and Secretary, and at least two other non-office-holding Members.
b) The Committee shall be elected at the Annual General Meeting and serve for one year. All members shall be eligible for re-election.
c) Any Member (whether or not an Officer) may resign at any time by giving written notice to the Secretary or Chair. If an Officer resigns, or a non-office-holder member resigns leaving fewer than two non-office-holding members, the Committee shall meet as soon as reasonably practicable to appoint a replacement.
5. There shall be at least three meetings per year of the Committee. There shall also be an Annual General Meeting to which Members and non-voting Friends of the FOLT shall be invited to hear an annual report, and be given an opportunity to ask questions or make comments. Admission to the list of Friends will be by application to the Secretary.
6. Quorum: Committee Meetings – at least two Members must be present and two Officers. The Committee can co-opt temporary members for specific tasks and delegate sub-Committees (minimum membership of two).
7. The Committee has power to open a bank account and to administer funds in accordance with the Object of the Association. The Treasurer and two members of the Committee have power to sign cheques on behalf of the Association. Of these, two must sign for any transaction. The Treasurer is delegated to administer internet banking on behalf of the Association and to provide indemnities. The accounts will be examined and approved annually.
8. The Association may be closed by a majority vote of the Members who shall decide how the remaining assets are to be distributed.
This Constitution was passed by the Members in a General Meeting on 22nd October 2022.
